TERMS OF SERVICE

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”) and Community Juice LTD, a company registered in England and Wales, trading as Community Studios (“we”, “us”, “our”). By accessing or using the CEEJAY platform and related services (“Services”), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our Services.

2. Service Description

CEEJAY is a Discord analytics and community relationship management platform that provides:

  • Community analytics and growth metrics
  • Member profiling and audience segmentation
  • Sentiment analysis and keyword tracking
  • Engagement tools (polls, giveaways, forms)
  • Automation and workflow management
  • Ticketing and support systems
  • Reporting and data export

The Services are provided through a Discord bot and an accompanying web dashboard.

3. Account Requirements

  • You must have a valid Discord account to use our Services.
  • You must have administrator or appropriate permissions on the Discord server(s) where CEEJAY is installed.
  • You must be at least 13 years of age (in accordance with Discord's Terms of Service).
  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the security of your account credentials.

4. Customer Obligations

As a Customer, you agree to:

  • Inform your Discord community members that CEEJAY is active in your server and collecting data, in accordance with applicable data protection laws.
  • Comply with Discord's Terms of Service, Developer Terms of Service, and Community Guidelines.
  • Act as the Data Controller for your community members' data and ensure you have a lawful basis for processing.
  • Not use the Services to collect data from servers where you do not have appropriate authorisation.
  • Respond to data subject requests from your community members in a timely manner.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Services.
  • Use the Services to harass, abuse, or harm individuals or communities.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorised access to the Services or related systems.
  • Use automated means to access the Services except through our provided APIs.
  • Resell or redistribute the Services without our written consent.
  • Use the data collected through our Services for purposes other than community management and analytics.

6. Data Processing Roles

In relation to the processing of Discord community members' personal data:

  • You (the Customer) are the Data Controller, responsible for determining the purposes and means of processing.
  • Community Juice LTD is the Data Processor, processing data on your behalf and in accordance with your instructions.

Our data processing practices are detailed in our Privacy Policy. A Data Processing Agreement (DPA) is available upon request for enterprise customers.

7. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, designs, trademarks (including CEEJAY and Community Studios), and documentation, are owned by Community Juice LTD.

We grant you a limited, non-exclusive, non-transferable licence to use the Services for the duration of your subscription, subject to these Terms.

You retain ownership of all data that you or your community members provide through the Services. We claim no ownership over your data.

8. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party during the course of using or providing the Services (“Confidential Information”).

Confidential Information includes, but is not limited to:

  • Community analytics, insights, and engagement data
  • Member data and community demographics
  • Business metrics, strategies, and operational information
  • Technical specifications and integration details

Confidentiality obligations survive termination of these Terms for a period of two (2) years.

These obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party.
  • Was already known to the receiving party without restriction prior to disclosure.
  • Is independently developed by the receiving party without reference to the disclosing party's Confidential Information.
  • Is required to be disclosed by law, regulation, or court order, provided that the disclosing party is given reasonable advance notice where permitted.

9. Content License

By using the Services, you grant Community Juice LTD a limited, non-exclusive, non-transferable, revocable licence to access and process your community content solely for the purpose of providing and improving the Services as described in these Terms.

  • This licence is limited to the processing necessary to deliver the Services you have subscribed to.
  • This licence terminates automatically when your subscription ends.
  • We do not claim ownership of any customer content, community data, or derived insights.
  • We will not use your content for purposes unrelated to providing the Services, including but not limited to selling, licensing, or distributing your data to third parties.

10. Service Availability

We use commercially reasonable efforts to make the Services available 24/7. However, the Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free operation.

We may perform scheduled maintenance with reasonable advance notice. Unscheduled maintenance may occur in the event of security incidents or critical issues.

The Services depend on Discord's API and infrastructure. We are not responsible for outages or limitations caused by Discord.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Payment Terms

Certain features of the Services require a paid subscription. Payment terms, pricing, and billing cycles will be communicated at the time of subscription.

  • All fees are exclusive of applicable taxes unless stated otherwise.
  • Subscriptions auto-renew unless cancelled before the renewal date.
  • Refunds are handled on a case-by-case basis at our discretion.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to us in the 12 months preceding the claim, or GBP 100, whichever is greater.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We are not liable for any loss or damage caused by Discord outages, API changes, or third-party service failures.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond the reasonable control of the affected party (“Force Majeure Event”).

Force Majeure Events include, but are not limited to:

  • Natural disasters, acts of God, or severe weather events
  • Government actions, sanctions, or regulatory changes
  • Pandemic, epidemic, or public health emergency
  • Discord platform outages, API changes, or service discontinuation
  • Internet infrastructure disruptions or cyber attacks
  • War, terrorism, civil unrest, or industrial action

The affected party must notify the other party promptly of the Force Majeure Event and use reasonable efforts to mitigate its effects. If a Force Majeure Event continues for more than 90 days, either party may terminate these Terms upon written notice.

14. Indemnification

You agree to indemnify and hold harmless Community Juice LTD from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • Your use of the Services in violation of these Terms.
  • Your failure to comply with applicable data protection laws as a Data Controller.
  • Any claims from your community members relating to data processing.

15. Termination

Either party may terminate these Terms by providing 30 days' written notice. We may also terminate or suspend your access immediately if:

  • You breach these Terms.
  • Your use poses a security risk to the Services or other users.
  • Your Discord account is terminated or suspended.

Upon termination, you will have 30 days to export your data. You may export your data via the dashboard export features or request a data export in CSV format by contacting us at privacy@communitystudios.xyz. After this period, we will delete your data in accordance with our Privacy Policy.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. General Provisions

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and us.
  • Amendments: We may update these Terms from time to time. We will notify you of material changes via email or dashboard notification. Continued use of the Services after such changes constitutes acceptance.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations under these Terms.
